The terms behind PropBot

These Terms of Service ("Terms") are a legal agreement between you and [[TO CONFIRM: legal entity name]] ([[TO CONFIRM: registered business address]], VAT/registration [[TO CONFIRM: VAT / company registration number]]), operating PropBot ("we", "us", "PropBot"), and govern your access to and use of the PropBot website, owner portal, and WhatsApp-based assistant.

By creating an account, connecting a WhatsApp number, or otherwise using PropBot, you accept these Terms in full. If you do not agree, do not use the service. If you accept these Terms on behalf of a company, you confirm you have the authority to bind that company.

PropBot is a WhatsApp-based assistant ("Mia") that monitors rental-related WhatsApp groups you already belong to, qualifies leads on your behalf in private one-to-one messages, and hands off conversations to you when a lead needs a human — for example around discounts, contracts, or scheduling a visit. PropBot does not book visits or negotiate price on your behalf.

The service includes the owner portal (property, lead, and conversation management), the WhatsApp connection, and any related dashboards or reports. We may add, change, or remove features as the product evolves; we will not materially reduce the core service you are subscribed to without reasonable notice.

PropBot is a business-to-business (B2B) service for property owners, landlords, and real estate agencies acting in a professional or business capacity. It is not directed at consumers and is not intended for personal, household, or non-commercial use.

You must be at least 18 years old and legally able to enter into a binding contract to use PropBot. By using the service you represent that you meet these requirements.

You are responsible for the accuracy of the information you provide when signing up, for keeping your login credentials confidential, and for all activity that happens under your account.

You must notify us promptly if you suspect unauthorized access to your account or to the WhatsApp number connected to PropBot. We may suspend an account we reasonably believe has been compromised, while we investigate.

You agree to use PropBot only for lawful purposes connected to renting or managing real property, and not to use it to send unsolicited bulk messages, spam, or content unrelated to a genuine rental inquiry.

You are responsible for using your connected WhatsApp number in a way that complies with WhatsApp's and Meta's own Terms of Service and commerce/business policies. PropBot does not authorize, and you must not use PropBot to facilitate, any use of WhatsApp that those third-party terms prohibit — including bulk unsolicited outreach, or messaging people who have not first engaged in a monitored group.

You must not attempt to reverse-engineer, scrape, overload, or interfere with PropBot's infrastructure, probe it for vulnerabilities without authorization, or use it to process content that is illegal, fraudulent, discriminatory, or infringes a third party's rights.

We may suspend or terminate access for a violation of this section, with notice where reasonably possible.

You are the data controller for the property and contract information you upload, and for the personal data of renters that reaches PropBot through your connected WhatsApp groups and conversations ("Customer Data"). We process Customer Data on your behalf as described in our Privacy Policy.

You confirm you have a lawful basis to have PropBot process the messages, phone numbers, and other renter data that pass through your account, and that any claims, prices, or contract terms you configure for PropBot to communicate are accurate and authorized by you.

You remain responsible for how you use PropBot's output — including handoffs, qualification summaries, and any decision you make about a lead — in your own dealings with renters.

PropBot, its underlying software, models, design, and documentation are owned by us or our licensors and are protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the service for your own business during your subscription — nothing here transfers ownership of PropBot to you.

You retain ownership of the property listings, photos, contracts, and other content you upload. You grant us a license to use that content solely to operate and improve the service for your account.

PropBot relies on third-party services to operate, including WhatsApp/Meta (messaging transport), Cal.com (demo scheduling), Stripe (billing and payments), and Supabase (data hosting). Your use of PropBot is also subject to the applicable terms of these providers where you interact with them directly.

We are not responsible for outages, policy changes, or account actions taken by these third parties that are outside our control, though we will act in good faith to minimize disruption to your service.

PropBot is offered on a recurring subscription basis. Fees, billing cycle, and plan details are shown at checkout and in your owner portal billing section, and are processed through Stripe.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You can cancel at any time from the owner portal; cancellation stops future renewals but does not automatically refund the current period unless required by law or stated otherwise at signup.

We may change pricing for future billing periods with advance notice. Continuing to use PropBot after a price change takes effect means you accept the new price.

PropBot is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that PropBot will be uninterrupted, error-free, or that every lead qualification, handoff, or response generated by Mia will be accurate or complete — you remain responsible for reviewing and acting on anything materially important, such as pricing, contract terms, or legal questions.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of PropBot.

Our total liability for any claim arising from these Terms or the service is limited to the amount you paid us for the service in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits liability where the law does not allow it to be limited (for example, liability for gross negligence or willful misconduct where applicable).

You agree to indemnify and hold us harmless from claims, damages, and reasonable expenses arising from your breach of these Terms, your misuse of the service, or Customer Data you are responsible for under the section above.

You may stop using PropBot and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms, including the acceptable-use section, or if required to do so by a third-party provider (for example a WhatsApp/Meta enforcement action) that is outside our control.

On termination, your right to use the service ends; provisions that by their nature should survive (intellectual property, disclaimers, limitation of liability, indemnification, governing law) continue to apply.

We may update these Terms from time to time. We will update the "last updated" date above when we do, and for material changes we will make reasonable efforts to notify active owners (for example by email or in the owner portal) before the change takes effect. Continuing to use PropBot after a change takes effect means you accept the updated Terms.

These Terms are governed by [[TO CONFIRM: governing law and competent court]]. Any dispute arising from these Terms or your use of PropBot will be subject to the exclusive jurisdiction of the courts referenced above, without prejudice to any mandatory consumer or local-law protections that cannot be excluded, where applicable.
